1. Acceptance of Terms

By accessing our website (velupr.com) or contracting VELUPR for design, development, or consulting services, you agree to be bound by these Terms and Conditions and applicable project statements of work (SOW).

2. Services & Project Scope

VELUPR provides custom engineering, UI/UX design, cloud infrastructure, AI automation, and digital marketing services. Detailed project scope, deliverables, timelines, and milestones are outlined in individual project proposals and client agreements.

3. Intellectual Property Rights

• Client Ownership: Upon full and final settlement of project invoices, all custom source code, assets, and design deliverables specified in the SOW become the exclusive property of the client.
• Agency Pre-existing Assets: VELUPR retains ownership of proprietary developer frameworks, reusable libraries, and open-source tools integrated into the deliverables.

4. Payment Terms & Billing

Projects operate under agreed milestone payments or deposit structures. Invoices are payable within the terms specified on the invoice. Milestone delays resulting from pending client approvals may adjust estimated delivery schedules.

5. Client Responsibilities & Approvals

Clients agree to provide timely feedback, content assets, and required credentials necessary for project execution. Delays in client feedback exceeding 14 business days may result in project rescheduling.

6. Limitation of Liability

VELUPR shall not be held liable for any indirect, incidental, or consequential damages resulting from server downtime, third-party API changes, hosting provider outages, or client configuration errors post-handover.
